The terms that govern your access to IdeaDrive and purchases of IdeaDrive token packages.

These Terms govern access to ideadrive.ai, the IdeaDrive web application and purchases of IdeaDrive token packages (together, "IdeaDrive" or the "Service").

1. Provider

IdeaDrive is provided by:

2. Definitions

  • Consumer means a natural person using or purchasing the Service primarily outside their trade, business, craft or profession, including a person entitled to equivalent protection under applicable Polish law.
  • Professional User means a person or entity using or purchasing the Service for business or professional purposes and not entitled to Consumer protection for that transaction.
  • User means any person accessing the Service.
  • User Content means startup ideas, prompts, profiles, answers, edits, URLs, feedback and other content submitted by a User.
  • AI Output means ideas, scores, explanations, recommendations and other material generated through AI-assisted features.
  • Token means a limited, non-cash unit that permits specified operations in the Service.

3. Acceptance and contract formation

By creating an account, using the Service or placing an order through a screen that links to these Terms, the User agrees to these Terms and acknowledges the Privacy Policy and Cookie Policy.

Product pages and pricing displays are invitations to place an order. A purchase contract is formed when we accept the order and send or display confirmation after successful Stripe checkout. The confirmation and the version of these Terms presented at checkout form part of the contract.

If a User does not agree to these Terms, they must not use the Service.

4. Eligibility

A User must be at least 16 years old to create an account and at least 18 years old to purchase tokens or other paid digital services. A person accepting these Terms for an organization represents that they have authority to bind that organization.

We may request reasonable information to verify eligibility or authority. Users must provide accurate information and keep it current.

5. Accounts and authentication

IdeaDrive accounts and sessions are managed through Supabase Auth using Google OAuth, Twitter/X OAuth or email magic link.

Users are responsible for:

  • protecting access to their Google, Twitter/X and email accounts
  • maintaining control of authenticated devices and sessions
  • notifying us promptly of suspected unauthorized access
  • all activity performed through their IdeaDrive account unless caused by our breach of applicable obligations

IdeaDrive does not create or store application-owned passwords. We may suspend an account where necessary to protect the User, the Service or third parties.

6. Service description

IdeaDrive helps Users generate, structure, score and compare startup ideas. Features may include a Startup Profile, idea generation and normalization, a versioned scoring methodology, side-by-side comparisons, explanations, recommendations and token-based access to AI operations.

The current feature set, token cost of an operation, expected processing time and availability are shown in the Service. Features described as beta, experimental, preview, disabled or "coming soon" are not guaranteed to become generally available.

7. AI disclosures

The Service uses generative AI providers, including OpenAI and Anthropic. AI Outputs are machine-generated and may be incomplete, inaccurate, inconsistent, outdated or similar to material generated for other users.

EU AI Act transparency. Tallum Foundry operates IdeaDrive as a deployer of third-party AI systems supplied by OpenAI and Anthropic. Users are informed that IdeaDrive is an AI-enabled service and that AI Outputs are machine-generated. The interface identifies AI-generated content as such. IdeaDrive will provide any disclosure required of a deployer by Article 50 of Regulation (EU) 2024/1689 (EU AI Act) and will not intentionally remove provider-supplied machine-readable markings from AI Outputs. Article 50 applies from 2 August 2026.

AI Outputs are informational decision-support material. They are not legal, tax, financial, investment, medical or other professional advice, do not predict whether a startup will succeed, and should not be the sole basis of a business or financial decision. The User is responsible for independent verification, professional advice where appropriate, and all decisions made using the Service.

No score, ranking, recommendation or AI Output creates a warranty, guarantee, fiduciary duty or promise of commercial results.

8. Tokens

Token packages

Package size, price, currency, applicable VAT, per-operation token costs and material package conditions are displayed before purchase. Purchased tokens are credited after confirmed payment.

For Consumer-law purposes, IdeaDrive is supplied as a digital service that allows Users to create, process, store and access data in digital form. A token package is a prepayment for specified use of that digital service, rather than a purchase of money or stored value.

Tokens:

  • are limited contractual access units, not money, electronic money, cryptocurrency, stored value or a financial instrument
  • cannot be withdrawn as cash, sold or transferred unless we expressly provide a transfer mechanism
  • may be used only through the account to which they were issued
  • may not be obtained or used through fraud, automation abuse, chargebacks or exploitation of technical defects

Expiry

Purchased tokens expire 12 months after the purchase date of the relevant package. Free, referral and promotional tokens expire 30 days after grant unless a shorter period was clearly disclosed with the promotion.

Where an account contains tokens from more than one package or grant, tokens with the earliest expiration date are consumed first. If two balances have the same expiration date, the balance credited first is consumed first. The transaction ledger records the package or grant against which each token-consuming operation is applied.

Deduction and re-crediting

The Service deducts tokens when a token-consuming operation is submitted or begins, as disclosed in the interface. If no deliverable is produced because of a verified technical failure attributable to IdeaDrive or its providers, we will re-credit the relevant tokens within a reasonable time.

Subjective dissatisfaction with an otherwise delivered AI Output does not by itself entitle the User to re-crediting or a refund, without limiting mandatory conformity or consumer rights.

Account closure

If a User voluntarily closes the account, unused purchased tokens are forfeited and no refund is due solely because of the closure, to the maximum extent permitted by applicable law. Free, referral and promotional tokens end when the account is closed. This rule does not limit any mandatory withdrawal, conformity, refund or other consumer remedy.

9. Prices, VAT and payments

Purchases are processed through Stripe-hosted checkout. Available payment methods are displayed by Stripe. IdeaDrive does not handle full payment-card credentials.

Checkout supports USD and EUR. The final price shown at checkout includes applicable VAT calculated using the information and location relevant to the transaction. The User is responsible for providing accurate billing and tax information.

We may change future package prices or token costs. A change does not retroactively alter a completed purchase. If a payment is reversed, disputed or subject to chargeback, we may suspend the related tokens or account while the matter is investigated.

10. Delivery

Digital access and purchased tokens are delivered after successful order confirmation. A digital service is considered made available when the User can access it through their account.

If we do not supply purchased tokens or the paid digital service, the Consumer may request supply and exercise remedies available under Polish and applicable EU consumer law. Where a verified failure persists, remedies may include re-crediting, price reduction, termination or refund as required by law.

11. Consumer right of withdrawal

This section applies only to Consumers.

A Consumer who concludes a distance contract generally has 14 days from conclusion of the contract to withdraw without giving a reason, subject to applicable statutory exceptions and rules for digital services.

To withdraw, the Consumer must send an unambiguous statement to info@tallumfoundry.com before the deadline. The optional form in Section 12 may be used.

To receive purchased tokens and begin using the paid Service without waiting for the 14-day withdrawal period to expire, a Consumer must actively select a separate, unchecked-by-default consent at checkout. Acceptance of these Terms and the immediate-performance request must not be inferred from one another or from a pre-selected control.

The checkout consent should state substantially as follows:

Immediate performance request I expressly request that IdeaDrive begin supplying the paid digital service immediately, before the 14-day withdrawal period expires. I understand that, if I withdraw after supply has begun, I must pay the proportionate price of the service supplied up to withdrawal, measured by the paid tokens consumed, and that I may lose the right of withdrawal once the service has been fully performed, as provided by applicable law.

We will record the consent text or version, timestamp, account and order or checkout identifier. The order confirmation sent to the Consumer by email will confirm the immediate-performance request and provide or link to the applicable Terms in a form the Consumer can retain.

IdeaDrive treats the paid offering as a digital service. If a Consumer withdraws within the statutory period after requesting immediate performance, the Consumer pays only for the proportion of the purchased service supplied before withdrawal. For each affected package:

Refund = amount actually paid for the package × unused purchased tokens from that package ÷ total purchased tokens included in that package.

The amount actually paid means the final amount charged after discounts and including applicable VAT. Used purchased tokens represent the proportion of the service already supplied. Free, referral and promotional tokens have no cash value and are excluded from the refund calculation.

Token use is attributed to packages under the earliest-expiry-first rule in Section 8, with the oldest credit used first where expiration dates are equal. On withdrawal, unused tokens connected with the refunded portion are revoked. We issue the refund through the original payment method unless the Consumer expressly agrees otherwise, and within the statutory deadline.

If none of the purchased tokens from an eligible package has been used, the Consumer receives a full refund of the amount actually paid for that package. The right of withdrawal may be lost after the digital service has been fully performed only where all legally required conditions, notices and acknowledgements have been satisfied.

12. Optional withdrawal form

The Consumer may copy and send the following to info@tallumfoundry.com:

13. Consumer conformity rights

Consumers have mandatory rights where the digital service is not supplied or is not in conformity with the contract, including the rights available under the Polish Consumer Rights Act implementing Directive (EU) 2019/770.

Depending on the circumstances, a Consumer may require supply or conformity, receive a price reduction, or terminate the contract. Nothing in these Terms excludes or limits a mandatory legal guarantee, update obligation or remedy.

After termination or withdrawal, a Consumer may request qualifying non-personal content that they supplied or created while using the digital service, subject to statutory exceptions, in a commonly used machine-readable format. Requests should be sent to info@tallumfoundry.com.

14. User Content

The User retains rights they hold in User Content. The User grants Tallum Foundry a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, format, analyze and otherwise process User Content only as necessary to:

  • provide, secure and improve the Service
  • generate and store requested AI Outputs
  • prevent abuse and resolve technical problems
  • comply with law and enforce these Terms

The User represents that they have the rights and lawful basis necessary to submit User Content and that it does not violate law or third-party rights. Users should not submit special-category personal data, unauthorized confidential information or third-party trade secrets.

15. AI Outputs

To the extent permitted by law and subject to third-party rights and provider terms, Tallum Foundry grants the User a non-exclusive, worldwide, perpetual licence to use AI Outputs generated for that User for lawful personal or commercial purposes.

The User owns their original modifications and derivative material to the extent recognized by law. Tallum Foundry does not represent that an AI Output is unique, copyrightable, non-infringing or suitable for registration as a trademark, patent, design or other intellectual property right.

16. IdeaDrive intellectual property

IdeaDrive, its software, design, text, branding, scoring methodology, interfaces, databases and other platform materials are owned by Tallum Foundry or its licensors and protected by applicable intellectual-property laws.

These Terms grant only a limited, revocable, non-exclusive, non-transferable right to use the Service in accordance with the purchased package and these Terms. They do not transfer ownership of IdeaDrive or its platform intellectual property.

17. Acceptable use

Ideas that IdeaDrive will not score

IdeaDrive is intended to evaluate genuine startup and business ideas within the scope described below. We may use automated or human review to reject, decline to process or stop scoring an idea that falls within an excluded category. Examples are illustrative rather than exhaustive, and we may consider the substance and reasonably apparent purpose of an idea rather than the label used to describe it.

IdeaDrive will not accept for scoring ideas whose business model, product or core purpose involves:

  • illegal goods or services, including illegal drugs or drug distribution; weapons, ammunition or explosives; forged documents or counterfeit goods; trading stolen data; hacking for hire; or sanctions-evasion schemes
  • adult sexual content, including pornography or escort services; any sexual content, product or service involving minors is prohibited without exception
  • hate, discrimination or extremist abuse, including racist or extremist ideas; products designed to target, exclude, exploit or discriminate against minorities or vulnerable groups; or platforms designed for harassment
  • harm to people, including stalking or surveillance of specific individuals, revenge pornography or other non-consensual intimate content, deepfake impersonation of real people, or violence as a service
  • deception as a business model, including pyramid schemes, scams, fake-review farms, essay mills, writing academic assignments for hire or other academic-fraud services
  • gambling or betting, including casinos, betting services or products in which gambling mechanics are the core of the product
  • microloans or predatory lending, where the model is exploitative or relies on unfair, abusive or deceptive lending practices
  • questionable crypto schemes, including pump-and-dump operations, opaque crypto investment products or token schemes whose reasonably apparent model depends on manipulation, deception or exploitation
  • cannabis or CBD, including businesses whose core product or service is the cultivation, manufacture, distribution, promotion or sale of cannabis, cannabinoid or CBD products, whether or not lawful in a particular jurisdiction

A rejected submission is outside the scope of the scoring Service. Rejection does not constitute a legal determination, and accepting an idea for scoring does not mean that Tallum Foundry endorses the idea or confirms that it is lawful, safe, feasible or commercially viable.

Non-serious submissions

IdeaDrive may separately decline jokes, trolling, deliberately absurd submissions and other inputs that cannot reasonably be interpreted as genuine founder intent. The Service may ask the User to describe a serious business idea. A submission rejected only for this reason is not, by that fact alone, treated as prohibited content or a breach of these Terms.

Ideas not excluded merely because they are difficult, weak or provocative

IdeaDrive does not reject an idea solely because it is ambitious, capital-intensive, technically difficult or commercially weak. A recognizable, genuinely submitted business idea may proceed to scoring even if its likely score is low. Subject to applicable law and the other exclusions in these Terms, categories such as alcohol, tobacco or vaping products, lawful adult-wellness e-commerce and hunting accessories are not automatically excluded merely because they are regulated or provocative. Acceptance for scoring remains analysis, not endorsement or professional advice.

General conduct restrictions

Users must not:

  • use the Service for unlawful, fraudulent, deceptive, discriminatory or harmful purposes
  • generate, submit or distribute illegal content, child sexual abuse material, non-consensual sexual content, threats, harassment or unlawful hate content
  • impersonate another person or create deceptive non-consensual deepfakes
  • infringe intellectual property, privacy, publicity, confidentiality or other rights
  • submit third-party personal or confidential information without authority
  • probe, attack, disrupt, bypass or compromise security, authentication, rate limits, token accounting or provider safeguards
  • conduct prompt-injection, jailbreak or other adversarial activity intended to damage the Service or extract protected information
  • scrape, crawl, mirror, resell or systematically extract the Service or its content without written permission
  • reverse engineer, decompile or attempt to derive non-public source code except where applicable law expressly permits it
  • use automated accounts, fraudulent referrals, payment abuse or multiple identities to obtain tokens or benefits improperly
  • use AI Outputs without appropriate human review where errors could materially harm a person or organization

18. Feedback

If a User submits product feedback or suggestions, they grant Tallum Foundry a non-exclusive, worldwide, perpetual, irrevocable, royalty-free licence to use that feedback to operate and improve IdeaDrive without an obligation to compensate the User. This does not transfer ownership of the User's startup ideas or other User Content.

19. Service availability and changes

IdeaDrive is provided on a commercially reasonable, best-effort basis. We do not promise uninterrupted availability or a service-level agreement unless agreed separately in writing.

We may maintain, update, modify or discontinue features. For paid functionality, we will not materially reduce an already purchased digital service without providing the remedies required by applicable law. Planned maintenance may be announced where reasonably practicable.

20. Suspension and termination

We may restrict, suspend or terminate access where reasonably necessary because of:

  • breach of these Terms or applicable law
  • fraud, chargeback, payment failure or token abuse
  • security risk or unauthorized access
  • harmful or prohibited content or conduct
  • legal or authority request
  • the need to protect users, providers or the Service

Where reasonable and lawful, we will provide notice and an opportunity to address the issue. Immediate action may be taken for urgent security, fraud, legal or safety reasons.

A User may close their account through the available account-deletion flow or by contacting us. Account deletion and retention are described in the Privacy Policy.

21. Third-party services

IdeaDrive relies on third-party services including Supabase, Vercel, Google (Google OAuth and Google Analytics), Twitter/X, Stripe, Resend, OpenAI, Anthropic and Amplitude. A third-party service may have separate terms and privacy policies that apply when the User directly interacts with it, such as OAuth or Stripe-hosted checkout.

We use Google Analytics to understand how Users interact with IdeaDrive and to measure and improve the Service. Google Analytics may process information about page or screen views, interactions, device and browser characteristics, approximate location, referral or campaign source, and technical performance. Where applicable law requires consent, Google Analytics will not be activated until the User gives analytics consent. A User may later withdraw that consent through the Update cookie preferences control.

We are not responsible for independent third-party websites or services outside our control, but this does not limit our obligations concerning processors we select to provide IdeaDrive.

References to third-party companies, founders, products, markets or sources may be included for research, comparison, commentary or educational purposes. Unless expressly stated otherwise, a reference does not imply sponsorship, endorsement, partnership or affiliation. Third-party names and trademarks remain the property of their respective owners, and Users should verify third-party information directly with the relevant source.

If IdeaDrive includes an affiliate link, sponsorship, paid placement or another material commercial relationship, we will disclose that relationship clearly and conspicuously where the related content appears. Affiliate compensation does not by itself change IdeaDrive's scoring methodology or analytical conclusions. Sponsored content, if any, will be identified as sponsored.

22. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties beyond those expressly stated in these Terms or required by law.

Research, educational content and professional advice

IdeaDrive provides online research, educational content and decision-support tools relating to startup ideas. This may include guides, scores, comparisons, market research, strategic material and AI-generated recommendations.

Nothing provided through the Service is legal, tax, accounting, financial, investment, medical or other professional advice. Users should obtain qualified professional advice where appropriate. Nothing on IdeaDrive is an offer to sell or a solicitation to buy a security, business interest or investment opportunity.

Business results, execution and adaptation

An idea by itself does not generate revenue, profit or business value. Commercial results arise, if at all, only when an idea is implemented, brought to users, tested and continuously improved.

Turning an idea into a working business normally requires both technical and organizational implementation. Technical implementation may include product design, engineering, integrations, quality assurance, security, reliability and maintenance. Organizational implementation may include customer research, product management, distribution, marketing, sales, support, operations, finance, compliance and team coordination. The quality of an initial idea cannot compensate for missing or ineffective execution.

An initial idea is a hypothesis about a problem, user and solution. Users are responsible for collecting feedback, observing actual behavior and adapting the product, positioning, pricing, distribution and operating model to demonstrated user needs and changing market conditions.

IdeaDrive does not guarantee that an idea will be feasible, profitable, fundable, lawful, scalable or successful. No score, ranking, recommendation or AI Output is a promise of commercial results.

Scores, estimates and illustrative material

Scores, rankings, market sizes, revenue ranges, projections, case studies and “what this could make” estimates are illustrative decision-support material. They are not forecasts, warranties or promises of actual performance.

Actual outcomes may differ substantially because of execution, user demand, competition, pricing, skills, experience, available capital, timing, regulation, market conditions and other factors. IdeaDrive does not represent that an illustrative result is typical or that a User will achieve the same or a similar result.

Online guides, educational content, scoring methods and strategic material share research, frameworks and possible approaches. They do not guarantee revenue, funding, growth or another outcome, whether followed in whole or in part. Users are responsible for deciding whether a method is appropriate for their circumstances and for independently testing its assumptions.

AI-generated material and independent verification

As described in Section 7, AI Outputs may contain errors, omissions, inconsistencies, outdated information or fabricated details and may be similar to outputs generated for other users.

Users must independently verify material facts, sources, calculations, legal requirements, third-party rights and business assumptions before acting. AI Outputs must not be the sole basis of a material business or financial decision.

Testimonials and typical outcomes

A testimonial, case study or success story describes an individual experience in particular circumstances. It does not establish what a typical User will achieve, and another User's outcome may differ substantially.

Unless IdeaDrive expressly publishes substantiated typical-outcome data, a featured result must not be interpreted as typical, expected or guaranteed. Where a testimonial is used in advertising and could reasonably imply a typical result, IdeaDrive will provide any additional disclosure required by applicable law concerning generally expected results rather than relying only on a “results not typical” statement.

IdeaDrive does not collect or monitor Users' company revenue, profit or investment returns for the purpose of claiming a typical financial outcome and does not represent that it knows the average or typical business outcome achieved by Users. Information needed to process IdeaDrive purchases and operate the Service is handled as described in the Privacy Policy.

User responsibility

Users are responsible for their decisions, due diligence, implementation and use of IdeaDrive content and tools. This includes deciding whether to pursue an idea, how much money or time to invest, how to build and operate a business, and whether professional advice is needed.

Without limiting the statements above, we do not warrant that:

  • an AI Output is accurate, complete, current, unique or fit for a particular business decision
  • a startup idea will be feasible, profitable, fundable, lawful or successful
  • the Service will meet every User requirement or be free of interruption or error
  • third-party market, competitor or source information is complete or current

Nothing in this section excludes mandatory Consumer conformity rights.

23. Limitation of liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability arising from fraud, wilful misconduct, gross negligence where applicable, death or personal injury caused by negligence, or mandatory Consumer law.

For Consumers, our liability is determined by mandatory applicable law.

For Professional Users, to the maximum extent permitted by law:

  • Tallum Foundry is not liable for indirect, incidental, consequential, special or punitive loss, loss of profit, revenue, opportunity, goodwill or anticipated savings
  • Tallum Foundry is not liable for a business decision made in reliance on an AI Output without appropriate independent verification

24. Indemnity for Professional Users

A Professional User will indemnify Tallum Foundry against third-party claims, damages and reasonable costs arising from that User's unlawful User Content, infringement of third-party rights, prohibited use of the Service or material breach of these Terms, except to the extent caused by Tallum Foundry.

This section does not apply to Consumers to the extent prohibited by law.

26. Changes to these Terms

We may update these Terms for legal, security, technical or product reasons. Changes do not retroactively alter completed purchases unless required by law or expressly agreed.

Material changes affecting an ongoing account or digital service will be communicated in advance by email or in-product notice where required. If a User does not accept a material change, they may stop using the Service and exercise any termination rights available under the contract or applicable law.

27. Notices and complaints

Operational, support, legal, privacy, withdrawal and complaint communications should be sent to info@tallumfoundry.com.

We aim to respond to complaints within a reasonable period. Consumers may use competent consumer-advice or alternative-dispute-resolution bodies where applicable. The former European Commission Online Dispute Resolution platform is not referenced because it was discontinued in 2025.

28. Governing law and jurisdiction

These Terms are governed by Polish law.

For Consumers, this choice does not deprive the Consumer of mandatory protection granted by the law that would apply without this choice. Consumer disputes will be heard by the court competent under applicable mandatory jurisdiction rules, including the Consumer's place of residence where required.

For Professional Users, the courts with jurisdiction in Warsaw, Poland have exclusive jurisdiction, unless mandatory law requires otherwise.

29. Assignment

A User may not assign these Terms or transfer an account without our written consent. Tallum Foundry may assign the contract in connection with a merger, reorganization, financing, sale of business or assets, or transfer to an affiliate, provided that mandatory User rights are preserved and required notice is given.

30. Severability and waiver

If a provision is invalid or unenforceable, it will be limited or replaced only to the extent necessary, and the remaining provisions continue in effect. Failure to enforce a provision is not a waiver of it.

31. Entire agreement and language

These Terms, the order confirmation and policies incorporated by reference form the agreement concerning the Service and purchase. Additional written terms expressly agreed by the parties prevail to the extent of a conflict.

The public Terms are provided in English. Mandatory rights to receive information in another language remain unaffected. No translation is designated as controlling at launch.
